The new Anticorruption Law was ground-breaking legislation in Brazil, introducing strict rules and steep penalties. As ever the development of regulation is an increasingly important area for legal departments as they are looking to enhance their expertise. Ask yourself this question:  “If the regulator is coming tomorrow, do I know the exact steps the company and I would take in the next 24 hours?”  If the answer is “no”, then it’s time to get cracking.  Additionally for multinational companies operating globally, the Clean Company Act, in addition to anti-corruption legislation including, but not limited to, the U.S. Foreign Corrupt Practices Act, present a framework of overlapping and different corruption regimes. You cannot be responsible for every action your company takes, but you are responsible for every decision in which you're involved. Yes, you need to ensure your company can achieve its goals by legitimate means, but you mustn't allow your company to misuse your legal skills to enable it to do things that are pushing the compliance boundaries.
